Sound Recording Copyright License Agreement

This agreement is made between JungLWest ("Licensor") and the Buyer ("Licensee"), effective upon acquisition of the Licensed Work (Digital File, AIFF).

Plans Quick Overview:

• GIG: One-time use for a single, small scale production (e.g., student film, one-time event, social media content, etc.). License Lifetime validity for the single project only.

• TOUR: Multi-use license across multiple media formats, including advertisements, installations, or live performances, within the scope of one act, production, or campaign over a one-year term. All uses must be published, released, or performed within the specified time frame.

• PRO: Broader commercial use for multiple productions  across a three-year term. Product lines must be published, released, or manufactured within the specified time frame.
Includes Web3 integration with blockchain-certified ownership [NFT].

General Terms for All Plans

License Activation

• The license is activated upon purchase, identified by the buyer's email and the license key included in the license package and file metadata.

Edits for Compatibility:
Adjustments for timing, fades, or volume are allowed to ensure seamless integration into a project, as long as the original structure and character of the Licensed Music Tracks remain intact.

Single Use Scope:
The Licensed Music Tracks is intended for the specific project outlined in the license. Additional projects require a separate license to maintain proper usage rights.

Restrictions:
• Resale or sublicensing of the Licensed Music Work as a stand-alone asset (e.g., music stems or templates) is strictly prohibited.

• Unauthorized redistribution or minting beyond the agreed Web3 terms is not allowed.

• Use in explicit or pornographic content is strictly forbidden. This includes but is not limited to:

Pornographic films, adult entertainment productions, or any sexually explicit media.

Content that promotes or depicts non-consensual, exploitative, or illegal sexual activity.

Any media that violates community standards on explicit or obscene material.

• The Licensed Music Work may not be used in any project that promotes hate speech, illegal activities, or defamatory content.

Web3 Usage:
Tokenizing or distributing the Licensed Music Tracks as an NFT or other blockchain asset is only allowed with explicit written consent from the Licensor.

Personalized Rights:
The license is granted exclusively to the Licensee and is non-transferable or shareable with third parties.

Credit Requirement:
• Commercial use must credit the Licensed Music Work as follows:
“[Track Name] by [Artist Name]” in project credits, promotional materials, or online listings.
• No credit is required for personal use

Indemnification

• The Licensee agrees to indemnify and hold the Licensor harmless from any claims, damages, or liabilities arising from unauthorized use of the Licensed Graphic Work.

GIG

Grant of License
The Licensor grants the Licensee a non-exclusive, non-transferable license for one-time use in a single creative project, such as a film, DJ gig, YouTube video, social media ad, or similar project:

• Usage includes personal or small-scale productions for a single project.
• Worldwide distribution, including local and small online releases.

Restrictions

• The Licensed Music Work may not be used for additional projects or multiple uses.
• Redistribution, sublicensing, or NFT minting is prohibited.
• Modification of the core music work beyond minor adjustments (e.g., trimming or fade-ins/outs) is not allowed.

Credit Requirement
No credit is required for personal use; however, commercial use must acknowledge:
“[Track Name] by [Artist Name]” in project credits, descriptions, or documentation.

Ownership
The Licensed Music Work remains the intellectual property of the Licensor. This agreement does not transfer ownership rights.

Term
Lifetime validity for the defined single project.

TOUR

Grant of License
The Licensor grants the Licensee a non-exclusive, non-transferable license to use the Licensed Music Work across multiple creative projects within one year:

• Usage includes multiple projects such as films, DJ sets, social media campaigns, YouTube videos, online streaming, or events.
• Worldwide distribution, including e-commerce platforms and small-scale commercial releases.

Restrictions

• The Licensed Music Work may not be sublicensed, redistributed, or minted as an NFT.
• Minor edits for compatibility (e.g., timing adjustments, volume changes) are allowed but cannot alter the core composition.

Ownership
The Licensed Music Work remains the intellectual property of the Licensor. Ownership rights are not transferred.

Term

• The license is valid for one year from the download date. Projects must be published, released, or performed within the specified time frame.
• Renewal is available at the original purchase price before expiration.

PRO

Grant of License
The Licensor grants the Licensee a non-exclusive, non-transferable license for full commercial use across multiple projects for three years, with additional Web3 integration benefits:

• Usage includes unlimited creative projects, such as films, advertisements, live events, social media campaigns, and global commercial releases.
• Worldwide, including all digital and physical distribution channels.
• Web3 Integration: Includes shared blockchain ownership of the original Licensed Music Work, transferred as an NFT.

Restrictions

• Resale or sublicensing of the Licensed Music Work as a stand-alone asset (e.g., music stems or templates) is prohibited.
• Unauthorized redistribution or minting beyond the agreed Web3 terms is not allowed.

Ownership
The Licensed Music Work remains the intellectual property of the Licensor. While this agreement provides shared blockchain ownership, full intellectual property rights are not transferred.

Term

• The license is valid for three years from the download date. Projects must be published, released, or performed within the specified time frame.
• Renewal is available at the original purchase price before expiration.
