Copyright License Agreement | TIME||LESS by SKWTii

This agreement is made between JungLWest ("Licensor") and the Buyer ("Licensee"), effective upon download of the Licensed Work.

Plans Quick Overview:

• GIG: allows one-time use for a single creative project
• TOUR: multiple uses for one project across a full year
• PRO: unlimited use across projects for three solid years
+ Web3 integration with blockchain-certified ownership [NFT]

GIG

Grant of License

The Licensor grants the Licensee a non-exclusive, non-transferable license to use the Licensed Work for a single project. This includes:

• Usage for one specific post, video, or one-time event.

• Lifetime validity for the single project only.

• Territory: Worldwide distribution, including streaming.

Restrictions

• The Licensed Work may not be resold, sublicensed, redistributed, or minted as a Non-Fungible Token (NFT).

• Use of the Licensed Work outside the defined scope (e.g., additional projects) is prohibited.

• Rights under this agreement may not be transferred to third parties.

Credit Requirement

• Licensee must credit the Licensed Work as follows: “Title | Author" in any project credits or related documentation.

Ownership

• The Licensed Work remains the intellectual property of the Licensor. This agreement does not transfer ownership rights, including Web3 copyrights.

Indemnification

• The Licensee agrees to indemnify and hold the Licensor harmless from any claims, damages, or liabilities arising from the Licensee's use of the Licensed Work.

TOUR

Grant of License

The Licensor grants the Licensee a non-exclusive, non-transferable license to use the Licensed Work for multi-use within a single project over a one-year period. This includes:

• Use for tours, exhibitions, installations, or related media associated with the project.

• License validity for one year from the download date.

• Territory: Worldwide distribution, including streaming.

Term of Expiration

The License expires one year from the download date. License renewal is available at the original purchase price if requested before expiration.

Restrictions

• The Licensed Work may not be resold, sublicensed, redistributed, or minted as an NFT.

• Use beyond the defined scope or project duration is prohibited without additional licensing.

• Rights under this agreement may not be transferred to third parties.

Credit Requirement

Licensee must credit the Licensed Work as follows: “Title | Author" in any project credits, promotional materials, or event documentation.

Ownership

The Licensed Work remains the intellectual property of the Licensor, including all Web3 rights. This agreement does not transfer ownership.

Indemnification

The Licensee agrees to indemnify and hold the Licensor harmless from any claims, damages, or liabilities arising from the Licensee's use of the Licensed Work.

PRO

Grant of License

The Licensor grants the Licensee a non-exclusive, non-transferable license to use the Licensed Work across multiple projects over a three-year period. This includes:

• Broad commercial and creative use within the license term.

• License validity for three years from the download date.

• Territory: Worldwide distribution, including streaming, Web3 applications, such as metaverse content and blockchain integration.

Term of Expiration

The License expires three years from the download date. License renewal is available at the original purchase price if requested before expiration.

Restrictions

• The Licensed Work may not be resold, sublicensed, redistributed, or minted as an NFT unless explicitly approved by the Licensor.

• Use beyond the defined term requires additional licensing.

• Rights under this agreement may not be transferred to third parties.

Credit Requirement

Licensee must credit the Licensed Work as follows: “Title | Author" in any project credits, promotional materials, or other public-facing materials.

Ownership

The Licensed Work remains the intellectual property of the Licensor, including all Web3 rights. This agreement does not transfer ownership.

Indemnification

The Licensee agrees to indemnify and hold the Licensor harmless from any claims, damages, or liabilities arising from the Licensee's use of the Licensed Work.

License Activation and Fee

Activation: The license is activated upon download, with the Licensee identified by the email used for download and the license key included in the file package or metadata.

Fee: Payment in full upon download grants the Licensee rights based on the selected plan.

Permitted Edits

Adjustments for compatibility (e.g., resizing or cropping) are allowed, provided they do not alter the fundamental character of the Licensed Work.

Web3-Specific Terms

• The Licensed Work may not be tokenized, sold, or distributed on blockchain platforms without explicit written consent from the Licensor.

• Any authorized Web3 usage, including NFT minting or metaverse integration, must adhere to these terms and provide appropriate credit.

By using the Licensed Work, you agree to these terms.
