Copyright License Agreement for Apparel Graphic – Digital File (PNG)

This agreement is made between JungLWest ("Licensor") and the Buyer ("Licensee"), effective upon acquisition of the Licensed Graphic Work (Digital File, PNG).

Plans Quick Overview:

• GIG: One-time use for a single product line (e.g., one type of t-shirt, hoodie, etc.). Valid for the lifetime of that specific product line.

• TOUR: Multi-use license for multiple product lines within the scope of one brand, store, or similar, over a one-year term. Product lines must be published, released, or manufactured within the specified time frame. Includes global commercial and e-commerce distribution rights.

• PRO: Broader commercial use for multiple productions and collections across a three-year term. Product lines must be published, released, or manufactured within the specified time frame. Includes Web3 integration with blockchain-certified ownership [NFT].

General Terms for All Plans

License Activation & Fee

• The license is activated upon purchase, identified by the buyer's email and the license key included in the file metadata.

Permitted Edits

• Adjustments for size, color, or compatibility are allowed, provided they do not alter the fundamental character of the Licensed Graphic Work.

Indemnification

• The Licensee agrees to indemnify and hold the Licensor harmless from any claims, damages, or liabilities arising from unauthorized use of the Licensed Graphic Work.

Web3-Specific Terms

• Web3 integration (PRO License only) provides NFT ownership and blockchain-based proof of license. All credits and usage terms must be adhered to.

GIG

Grant of License

The Licensor grants the Licensee a non-exclusive, non-transferable license for one-time use in a single line of apparel, such as one type of t-shirt, hoodie, or similar item:

• Usage includes personal or small-scale production for a single product line.

• Worldwide distribution, including local and small online sales.

Restrictions

• The Licensed Graphic Work may not be used for additional apparel lines or multiple projects.

• Redistribution, sublicensing, or NFT minting is prohibited.

• Modification of the core design beyond minor adjustments (e.g., resizing) is not allowed.

Credit Requirement

No credit is required for personal use; however, commercial use must acknowledge: “Design by JungLWest” on product tags or descriptions.

Ownership

The Licensed Graphic Work remains the intellectual property of the Licensor. This agreement does not transfer ownership rights.

Term

Lifetime validity for the defined single product line.

TOUR

Grant of License

The Licensor grants the Licensee a non-exclusive, non-transferable license to use the Licensed Graphic Work across multiple apparel projects within one year:

• Usage includes multiple product lines, such as t-shirts, hoodies, and tote bags, associated with various projects.

• Worldwide, including e-commerce platforms and small-scale commercial sales.

Restrictions

• The Licensed Graphic Work may not be sublicensed, redistributed, or minted as an NFT.

• Modifications for branding purposes (e.g., logo addition) are allowed but cannot alter the core design.

Credit Requirement

• Commercial use must credit the Licensed Graphic Work as follows: “Design by JungLWest” in product descriptions or promotional materials.

Ownership

• The Licensed Graphic Work remains the intellectual property of the Licensor. Ownership rights are not transferred.

Term

• License is valid for one year from the download date. Product lines must be published, released, or manufactured within the specified time frame.
• Renewal is available at the original purchase price before expiration.

PRO

Grant of License

The Licensor grants the Licensee a non-exclusive, non-transferable license for full commercial use across multiple projects for three years, with additional Web3 integration benefits:

• Usage includes unlimited apparel product lines, global commercial sales, and promotional campaigns.

• Worldwide, including all digital and physical retail channels.

• Web3 Integration: Includes shared blockchain ownership of the original Licensed Graphic Work, transferred as an NFT.

Restrictions

• Resale or sublicensing of the Licensed Graphic Work as a stand-alone asset (e.g., graphic templates) is prohibited.

• Unauthorized redistribution or minting beyond the agreed Web3 terms is not allowed.

Credit Requirement

• Commercial use must credit the Licensed Graphic Work as follows: “Design by JungLWest” on product tags, promotional materials, or online listings.

Ownership

• The Licensed Graphic Work remains the intellectual property of the Licensor. While this agreement provides shared blockchain ownership, full intellectual property rights are not transferred.

Term

• License is valid for three years from the download date. Product lines must be published, released, or manufactured within the specified time frame.
• Renewal is available at the original purchase price before expiration.
